These Terms of Use ("Terms") govern your access to and use of realestatebookkeeper.com and any related pages, forms, videos, articles, spreadsheets, templates, downloads, instructions, and other materials made available through the website (collectively, the "Site").

The Site is owned and operated by Lochside LLC, doing business as The Real Estate Bookkeeper ("The Real Estate Bookkeeper," "we," "us," or "our").

By accessing the Site, submitting a form, downloading a resource, or using any materials provided through the Site, you agree to these Terms. If you do not agree to these Terms, do not use the Site or its materials.

1. Educational and Informational Purposes

The Site and its materials are provided for general educational and informational purposes only.

Nothing on the Site constitutes accounting, bookkeeping, tax, legal, investment, financial, or other professional advice. The information may not be complete, current, or appropriate for your particular business, properties, accounting records, tax situation, software configuration, or circumstances.

You are responsible for evaluating the information and determining whether it is appropriate for your needs. You should consult a qualified accountant, bookkeeper, tax professional, attorney, financial adviser, or other appropriate professional before acting on information obtained through the Site.

2. No Professional or Client Relationship

Your use of the Site, submission of a form, download of a resource, viewing of a video, or communication with us does not create an accountant-client, bookkeeper-client, attorney-client, fiduciary, advisory, or other professional relationship.

A professional services relationship is created only after both you and The Real Estate Bookkeeper enter into a separate written engagement agreement.

If these Terms conflict with a signed engagement agreement for professional services, the engagement agreement will govern the services covered by that agreement.

3. Downloadable Resources and Templates

The Site may provide spreadsheets, charts of accounts, templates, checklists, import files, instructions, examples, and other downloadable materials.

These materials are general examples. They may not be compatible with your accounting software, subscription level, chart of accounts, business structure, tax reporting requirements, or internal procedures.

Before importing, uploading, editing, or applying any material, you are responsible for:

  • Reviewing the material for accuracy and suitability;
  • Creating appropriate backups of your accounting records and other data;
  • Testing imports or changes in a safe environment when possible;
  • Confirming account names, account types, balances, classifications, dates, and tax treatment;
  • Following the instructions and limitations of your accounting software; and
  • Obtaining professional assistance when necessary.

You assume all risks associated with downloading, modifying, importing, or using these materials.

4. Limited License

Subject to these Terms, we grant you a limited, revocable, nonexclusive, nontransferable license to use and modify our downloadable resources:

  1. For your own personal or business use; or
  2. As part of bookkeeping or accounting work you perform directly for your own clients.

This license permits you to use a resource when completing work for a client. It does not transfer ownership of the resource or permit you to distribute the resource itself.

Unless we provide prior written permission, you may not:

  • Sell, resell, rent, sublicense, or commercially distribute a resource;
  • Publish or publicly share a resource or a substantially similar reproduction;
  • Upload a resource to another website, membership, community, file library, software product, or public repository;
  • Offer a resource as your own download, bonus, template, product, course material, or lead magnet;
  • Remove or obscure copyright, attribution, branding, or proprietary notices;
  • Claim that you created or own the original resource;
  • Share access in a way that avoids our download or registration process; or
  • Use a resource to create a competing template or downloadable product for redistribution.

You may share reports, workpapers, account structures, or other client-specific outputs created through your permitted use of a resource, provided you do not distribute the original resource or a reusable copy of it.

We may revoke this license if you violate these Terms.

5. Intellectual Property

The Site and its original content, branding, designs, text, videos, graphics, downloads, templates, spreadsheets, instructions, and other materials are owned by or licensed to Lochside LLC and are protected by applicable intellectual property laws.

The names "The Real Estate Bookkeeper," associated logos, branding, domain names, and other identifying features may not be used in a manner that suggests sponsorship, endorsement, affiliation, or ownership without prior written permission.

Except for the limited license expressly granted in these Terms, no right, title, or interest in the Site or its materials is transferred to you.

6. Acceptable Use

You agree not to:

  • Use the Site for unlawful, fraudulent, abusive, or deceptive purposes;
  • Attempt to gain unauthorized access to the Site, its systems, or another user's information;
  • Introduce malware, malicious code, automated attacks, or harmful material;
  • Scrape, crawl, harvest, or systematically extract Site content without permission;
  • Interfere with the operation, availability, or security of the Site;
  • Misrepresent your identity or affiliation;
  • Use the Site or its materials to infringe another person's rights;
  • Circumvent access controls, form requirements, or technical restrictions; or
  • Assist another person in doing any of the above.

We may restrict or terminate access to the Site when we reasonably believe these Terms have been violated.

7. User Submissions and Communications

When you submit information through a form, send us an email, book a call, or otherwise communicate with us, you represent that the information you provide is accurate and that you have the right to provide it.

Do not submit confidential financial records, Social Security numbers, complete bank account numbers, passwords, access credentials, tax identification numbers, or other sensitive information through a general website form unless we specifically provide a secure method and request that information.

Our collection and use of personal information are described in our Privacy Policy.

Submitting an inquiry does not require us to accept an engagement, provide services, or respond within a particular period.

8. Email Communications

By requesting a resource, submitting a form, or subscribing to our communications, you may receive emails related to the requested resource, bookkeeping education, our services, or your inquiry.

You may unsubscribe from promotional emails by using the unsubscribe link provided in those messages. We may still send nonpromotional messages necessary to respond to your request, deliver a resource, administer an existing relationship, or comply with legal obligations.

9. Third-Party Services and Links

The Site may reference or integrate with third-party websites, software, services, and platforms, including accounting software, email providers, analytics services, video platforms, scheduling tools, authentication providers, and social media services.

References to third-party products or services are provided for convenience and educational purposes. Unless expressly stated otherwise, we do not control, sponsor, endorse, or assume responsibility for third-party services.

Your use of a third-party service is governed by that provider's own terms, policies, pricing, features, and security practices. We are not responsible for changes, outages, errors, data loss, security incidents, or other issues caused by third-party services.

QuickBooks and Intuit are trademarks of Intuit Inc. The Real Estate Bookkeeper is not affiliated with, sponsored by, or endorsed by Intuit Inc. unless expressly stated otherwise.

10. No Guarantee of Results

We do not guarantee that use of the Site, our educational content, or any resource will:

  • Produce accurate books or financial statements;
  • Prevent accounting or tax errors;
  • Satisfy a lender, investor, taxing authority, auditor, or other third party;
  • Reduce taxes or produce any particular tax treatment;
  • Improve profitability, cash flow, financing, or business performance;
  • Be accepted by accounting software without errors; or
  • Produce any other specific result.

Examples, demonstrations, sample businesses, sample transactions, and hypothetical results are illustrative only. Your results will depend on your records, decisions, implementation, software, advisers, and circumstances.

11. Disclaimer of Warranties

To the fullest extent permitted by applicable law, the Site and all materials, downloads, information, and services made available through the Site are provided "as is" and "as available," without warranties of any kind, whether express, implied, statutory, or otherwise.

We disclaim all warranties, including warranties of accuracy, completeness, reliability, merchantability, fitness for a particular purpose, title, noninfringement, compatibility, security, and uninterrupted availability.

We do not warrant that the Site or its materials will be error-free, free from harmful components, compatible with your systems, or continuously available.

Some jurisdictions do not allow the exclusion of certain warranties. In those jurisdictions, the exclusions above apply only to the extent permitted by law.

12. Limitation of Liability

To the fullest extent permitted by applicable law, Lochside LLC, The Real Estate Bookkeeper, and their owners, members, managers, employees, contractors, agents, affiliates, licensors, and service providers will not be liable for any direct, indirect, incidental, special, consequential, exemplary, or punitive damages arising from or related to:

  • Your access to or use of the Site;
  • Your inability to access or use the Site;
  • Your reliance on information presented through the Site;
  • Your downloading, editing, uploading, importing, or use of any resource;
  • Errors, omissions, inaccurate records, incorrect classifications, or failed imports;
  • Lost, corrupted, altered, or damaged data;
  • Tax liabilities, penalties, interest, audits, or filing problems;
  • Lost revenue, profits, business opportunities, financing, goodwill, or productivity;
  • Business interruption;
  • Unauthorized access, security incidents, or third-party conduct; or
  • Any other loss, claim, cost, or problem arising from the Site or its materials.

This limitation applies regardless of the legal theory asserted and even if we were advised that such damages were possible.

To the fullest extent permitted by law, our total cumulative liability arising from or related to the Site or any free resource will not exceed the greater of:

  1. The amount you paid us specifically for the Site resource giving rise to the claim; or
  2. One hundred United States dollars.

The limitations in this section do not apply to liability that cannot legally be excluded or limited.

13. Indemnification

To the fullest extent permitted by law, you agree to defend, indemnify, and hold harmless Lochside LLC, The Real Estate Bookkeeper, and their owners, members, managers, employees, contractors, agents, and affiliates from claims, liabilities, damages, judgments, losses, costs, and expenses, including reasonable attorneys' fees, arising from or related to:

  • Your misuse of the Site or its materials;
  • Your violation of these Terms;
  • Your violation of another person's rights;
  • Materials or information you submit;
  • Your distribution or unauthorized use of a resource; or
  • Work you perform for your clients using information or materials obtained from the Site.

This obligation does not apply to the extent a claim results directly from our willful misconduct or from conduct for which indemnification cannot legally be required.

14. Professional Services

Descriptions of bookkeeping, cleanup, consulting, advisory, or related services on the Site are general and do not constitute an offer to perform services on specific terms.

The scope, price, timing, responsibilities, limitations, and other conditions of professional services will be established in a separate proposal, engagement letter, contract, or statement of work.

We reserve the right to decline an engagement for any lawful reason.

15. Testimonials and Examples

Testimonials, case studies, reviews, examples, and descriptions of past results reflect individual experiences. They do not guarantee that another person or business will receive the same or similar results.

We may edit testimonials for length, spelling, grammar, or clarity without materially changing their meaning.

16. Children

The Site is intended for adults and business users. It is not directed to children under 13, and we do not knowingly seek to collect personal information from children under 13.

You must be at least 18 years old or have the legal authority to act on behalf of a business to enter into a binding agreement under these Terms.

17. Changes to the Site and Terms

We may modify, suspend, remove, or discontinue any part of the Site or its materials at any time.

We may update these Terms periodically. When we do, we will post the revised Terms and update the effective date at the top of the page.

Changes will apply prospectively from the posted effective date unless applicable law requires otherwise. Your continued use of the Site after revised Terms become effective constitutes acceptance of the revised Terms.

Material changes affecting how we handle personal information will also be addressed in accordance with our Privacy Policy and applicable law.

18. Termination

These Terms remain effective until terminated.

You may terminate your agreement to these Terms by discontinuing use of the Site and deleting any resources for which your license has been revoked.

We may suspend or terminate your permission to use the Site or its materials if you violate these Terms, misuse our resources, infringe our rights, or create legal or security risk.

Provisions that by their nature should survive termination will survive, including intellectual property rights, disclaimers, limitations of liability, indemnification, governing law, and dispute provisions.

19. Governing Law and Venue

These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law principles.

To the extent a dispute arising from these Terms or the Site is not subject to another binding written agreement between you and us, you agree that the state and federal courts located in Montgomery County, Texas, or the federal judicial district serving Montgomery County, will have exclusive jurisdiction and venue.

You waive objections based on personal jurisdiction, venue, or inconvenient forum to the extent permitted by law.

20. Severability

If any provision of these Terms is held unlawful, invalid, or unenforceable, that provision will be enforced to the greatest extent permitted, and the remaining provisions will remain in effect.

21. No Waiver

Our failure to enforce a provision of these Terms does not waive our right to enforce that provision or any other provision later.

22. Assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written consent.

We may assign these Terms as part of a merger, acquisition, reorganization, sale of assets, transfer of the Site, or other business transaction.

23. Entire Agreement

These Terms, together with our Privacy Policy, Disclaimer, and any other policies expressly incorporated by reference, constitute the entire agreement between you and us concerning your use of the Site.

A separate signed agreement governing professional services will remain controlling with respect to those services.
